Terms of Trade:
INSTRUCTIONS and TERMS OF TRADE are set out below for your information
Please print all pages, sign the confirmation on the last page then scan and email to production so your order can proceed. If you don't have a scanner please take a photo of the paper work with your smart phone and email to the sender. Any queries please call your local sales person (027 494 1245) or Production direct on 0800 10 24 10. After the confirmation is signed, scanned and emailed back to production, you will be sent artwork for checking and final approval. Nothing will be printed until artwork is approved and deposits are paid (where applicable).
Speed of artwork approval and deposit is of the essence to achieve delivery times.
DEPOSITS & INVOICING:
NZ Ex Stock Orders over $500:
An initial production invoice will be sent for approximately 50% of the goods ordered - payable in 5 working days. Production may be held up if payments haven't been made. The remaining quantity or balance will be invoiced once the product is despatched / delivered, for payment due 7 working days following delivery - less the deposit made. This is now a standard requirement of all NZ and Overseas suppliers and manufacturers. Final invoice for approved corporates will be the 20th of the month following delivery.
Custom Made Indent orders from overseas
-- All Indent orders require a 60% production payment upon the overseas order being placed which is due for payment in 5 working days. Production may be held up if payments haven't been made. Payment of invoice balance/quantity will be due for payment when the product is loaded on to the shipping method. ie sea or airfreight. This is now a standard requirement of overseas (Indent) suppliers and manufacturers. Approved corporates will be the 20th of the month following delivery.
All products and prices are subject to confirmation and availability by Image Solutions Promotional Marketing Limited (ISPML) upon receipt of official signed confirmation. Smaller quantities than quoted may be available but at a slightly higher cost. In order to receive the price agreed on the confirmation, payment must be paid by the due date. We reserves the right to charge overdue accounts interest at current bank Credit Card Rates pa after 30 days. All debt collection costs charged to collect outstanding amounts owing are payable by the client or company invoiced. Invoices may be paid by Credit Card, however ISPML reserves the right to charge an extra 2.5% to invoices with a total value of $500 or more. Should the above order be cancelled, costs incurred to date for artwork, setup or stock which may have been purchased on your behalf by ISPML will becharged to the client, this may sometimes include the total order, particularly when products are being produced from off shore and upon signing you agree to pay these costs.
Confirmation Policy:
Normal delivery time in NZ is 15-20 working days or 12 to 18 weeks from overseas by ship and 6 to 12 weeks by airfreight, all after approval of final artwork and paid deposits.
Delivery times can vary. ALL deadlines need to be confirmed.
All efforts will be made to deliver product to the client by the due date but this industry is reliant upon speed of client artwork approval, deposits paid where applicable, shipping timetables and couriers therefore, ISPML terms negate any clients purchase terms regarding delivery. Once custom imprinted items have been produced, late delivery caused by circumstances beyond our control (e.g. Courier problems, strikes, bad weather etc) is not grounds for non-payment or cancellation of order. Our products are of high quality and will be replaced or credited due to defects with the product or printing within 3 months of invoice. We reserve the right to supply up to 15% above or below the quantity ordered. (this is more applicable to promotional pens) In all cases the actual quantity delivered will be invoiced. Title and ownership of all goods will not pass ownership until paid for in full. Until ownership has passed, the customer holds the goods on behalf and our representatives are permitted to enter the premises, by any means, where the goods are or believed to be stored, for the purpose to inspect and/or repossess the goods or to collect & hold any other goods available to the value of the outstanding amount. The client irrevocably licences and permits our representatives to enter such premises by any means and indemnifies ISPML and its representatives from and against all costs, claims, demands or actions by any party arising from such action.
While we will make every effort to match your company logo PMS colours, when printing, PMS colours may vary slightly depending on the surface being printed and the batch colour of product produced. This result is out of our control and ISPML cannot be held liable for colour variances. This is not grounds for non-payment of the product invoice. Colour of artwork and/or product images viewed on PDF proofing files may not be a true representation of actual final product colour due to the various settings on different computer screens. Please note that any small text or logo detail smaller than 8 to 10 points or 2mm high may not print clearly. (5mm for embroidery minimum) Where PMS colours have been quoted, these will be used except in embroidery where the colour may not have an actual thread match so a match as close too will be used. Accuracy of colour shades cannot be guaranteed but will be as close to the PMS colours supplied. Where no PMS colours have been supplied we will make our best effort to match to what artwork we have been supplied. Prices are valid for 21 days from the date of this confirmation. When Indenting Orders the above price is based on the US dollar or the AU dollar exchange rate (whichever is being used) as at the above date. Any alteration or change in the US or AU dollar exchange rate at the time of this order being placed by more than a drop of 2% may require a requote which may alter the overall price. Alternatively we reserve the right to increase the price charged due to the rate changes. Please read all elements of this confirmation carefully as your signature serves as final acceptance of the product, pricing and terms outlined. Signing automatically accepts these terms of trade and the person signing agrees that they have the authority to approve and accept the terms on behalf of the client or company stated who will be held liable. ISPML cannot and will not be held liable if the signed confirmation is incorrect.
